Stream Organizer and Company jointly hereinafter referred to as “Parties” and separately as “Party”.
2. INTRODUCTION
The Company is the owner of the online myStaze Platform (“Platform”). The Company offers a service (“Service”) via its Platform whereby a Stream Organizer, such as a musician, creator, event producer, or promoter, can register on the Platform and sell tickets to live or recorded streamed events via the Platform to Users.
This Streaming Service Agreement sets out the terms and conditions for the Stream Organizer to register on the Platform and for the Company to provide the Service.
This Agreement is to be read alongside the Company’s Terms of Service and Privacy Policy available on our website. Together, these documents form a unified Agreement governing the relationship between the Parties. In the event of any discrepancies or conflicts between this Agreement and the Terms of Service or Privacy Policy, the provisions of this Streaming Service Agreement shall prevail.
3. DEFINITIONS
“Agreement” means this Streaming Service Agreement, together with the Company’s Terms of Service and Privacy Policy, including all appendices thereto, as amended from time to time.
“Confidential Information” means all proprietary, technical, industrial, or commercial information disclosed by one Party to the other Party in connection with this Agreement.
“Content” means videos, audio, graphics, photos, text, branding, interactive features, software, metrics, and other materials provided by the Stream Organizer to the Platform.
“Costs” refer to all deductions made from the Income of each specific Event prior to distributing the Stream Organizer’s share, including transaction fees, copyright fees, streaming costs, and third-party service fees.
“Effective Date” means the date on which the Stream Organizer accepts this Agreement electronically via the Platform.
“Event(s)” means all live or recorded streamed events hosted or produced by the Stream Organizer during the term of this Agreement and streamed via the Platform.
“Force Majeure Event” means an impediment beyond a Party’s control that prevents or delays the fulfilment of its obligations, including but not limited to natural disasters, strikes, wars, epidemics, or government actions.
“Income” means the gross revenue of tickets sold for an Event using the Service after deduction of Costs and possible refunds to Users.
“Service” means the service and features made available as part of the Platform enabling Stream Organizers to sell tickets to Events and stream them to Users.
“User(s)” means any person registered on the Platform who purchases a ticket to an Event.
“Stream Organizer” means any individual or entity who organizes, hosts, performs, or otherwise produces a live or recorded event using the Platform for online distribution and ticket sales.
4. RIGHTS GRANTED
4.1 The Company grants the Stream Organizer a limited, non-transferable license to use the Platform for the sole purpose of enabling the Stream Organizer to sell tickets to Events and stream Events in the Service as provided by the Company.
4.2 The Stream Organizer hereby grants the Company the exclusive right to live stream the Stream Organizer's Events globally via the Company’s Platform. This right is granted for the duration of this Agreement or solely during the time of the Event, as applicable. Additionally, the Stream Organizer grants the Company the right to use excerpts or clips from the Events for marketing purposes on the Company’s channels, including social media platforms.
The Stream Organizer acknowledges and agrees that myStaze may use logos, trade names, or brand elements visible during the streamed Event, including those of third parties featured in the stream, for the purpose of promoting the Event or the Service on myStaze’s marketing channels, provided that such use is fair and non-misleading.
4.3 The Stream Organizer grants Users a limited license to access the respective Event through the Service against the purchased ticket during the Event time.
4.4 The Stream Organizer represents and warrants that all Events and Content provided do not infringe upon any intellectual property rights of any third party and agrees to indemnify and hold the Company harmless against any related claims.
5. FEES AND COMPENSATION
5.1 Income will be allocated as follows: 90% to the Stream Organizer and 10% to the Company.
5.2 The Company shall account for and pay the Stream Organizer’s share of Income within one (1) month following each Event.
5.3 The Company reserves the right to modify the fees by written notice, effective thirty (30) days after notification.
5.4 The Stream Organizer is responsible for applicable taxes, fees, and charges arising from the Income, unless otherwise agreed in writing.
6. STREAM ORGANIZER’S OBLIGATIONS
The Stream Organizer agrees to:
(a) perform or host the Event as scheduled;
(b) determine ticket prices and provide the Company such information at least seven (7) days before the Event;
(c) provide necessary information or materials for providing the Service;
(d) ensure the recording and streaming quality of the Event;
(e) promote the Event in collaboration with the Company where applicable; and
(f) comply with all applicable laws and regulations.
7. COMPANY’S OBLIGATIONS
The Company agrees to:
(a) live stream the Event on the Platform;
(b) handle ticket sales for the Event on behalf of the Stream Organizer; and
(c) handle settlement and payment of Costs before paying the Stream Organizer’s share.
The Company may promote the Event through its channels and may use visual materials from the Event, including logos or imagery appearing in the live stream, for marketing purposes as described in Section 4.2.
8. INTELLECTUAL PROPERTY
8.1 All intellectual property rights of the Service and related materials remain the property of the Company.
8.2 All intellectual property rights of the Event and Content remain with the Stream Organizer.
8.3 The Stream Organizer grants the Company a limited license to use Event-related Content solely for operating, maintaining, and marketing the Platform and its Services.
9. CANCELLATION OF EVENT
9.1 If the Stream Organizer cancels an Event, they shall immediately inform the Company in writing and reimburse any related costs.
9.2 If the Stream Organizer cancels without valid reason less than 14 days before the Event, the Company may remove the Stream Organizer from the Platform.
9.3 If no tickets have been sold two (2) days before the Event, the Company may cancel the Event.
10. DATA PROTECTION
The Company’s Privacy Policy, as in force, explains how personal data is processed and protected when using the Service. The Privacy Policy forms part of this Agreement.
11. TERM AND TERMINATION
11.1 This Agreement commences on the Effective Date and continues until further notice unless terminated as provided herein.
11.2 The Stream Organizer may terminate by removing their registration, provided there are no upcoming Events.
11.3 The Company may terminate without cause with three (3) months’ written notice or restrict access if terms are violated.
11.4 Either Party may terminate immediately in case of material breach or insolvency of the other Party.
12. WARRANTY DISCLAIMER
The Service is provided “as is” and “as available.” The Company makes no warranties regarding operation, availability, or quality of the Service, and disclaims all liability related to interruptions or technical issues.
13. LIMITATION OF LIABILITY
13.1 The Stream Organizer shall indemnify the Company against any claims related to their Events or Content.
13.2 The Company shall not be liable for indirect, incidental, or consequential damages.
13.3 The Company’s aggregate maximum liability shall not exceed €10,000, excluding VAT, except in cases of gross negligence or wilful misconduct.
13.4 DDoS Attacks and Refunds
In the event that a Distributed Denial of Service (DDoS) attack or other comparable cyber incident prevents Users from accessing the Event stream, the Company shall refund ticket payments to the affected Users on behalf of the Platform. In such circumstances, no payment or revenue share shall be made to the Stream Organizer for the affected Event, as the Event could not be successfully delivered due to external interference beyond the Company’s reasonable control.
14. CONFIDENTIALITY
Each Party shall maintain in strict confidence all confidential information disclosed during this Agreement and ensure that such information is disclosed only to personnel bound by confidentiality obligations. This section survives termination for two (2) years.
15. MISCELLANEOUS
15.1 The Company may use the Stream Organizer’s trade name, logo, and quotes on its social media, promotional materials, webpages, and advertising materials without prior approval. This includes the right to use third-party logos visible in the Event for promotional purposes.
15.2 The Parties acknowledge that nothing herein creates an employment, agency, or partnership relationship. The Stream Organizer acts as an independent contractor and is responsible for all taxes and legal obligations.
15.3 If any provision of this Agreement is found invalid, the remaining provisions shall remain in full force. The Parties shall agree on a replacement provision approximating the original intent.
15.4 Any amendments must be made in writing and signed by both Parties.
16. GOVERNING LAW
This Agreement shall be governed by the laws of Finland. Any disputes shall be finally settled by arbitration in accordance with the Arbitration Rules of the Finland Chamber of Commerce, with one arbitrator seated in Helsinki, Finland. The language shall be English.
17. ACCEPTANCE OF TERMS
By registering on the myStaze Platform, the Stream Organizer agrees to be bound by the terms of this Agreement. Acceptance occurs when the Stream Organizer checks the acceptance box during registration or otherwise confirms electronically. No handwritten signature is required.
18. ENTIRE AGREEMENT
This Agreement, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between the Parties and supersedes all prior understandings relating to its subject matter.
